Schedule 1: Data Processing Addendum
1. Parties, acceptance and eligibility
1.1 These Terms are an agreement between Revloom ("Revloom", "we", "us"), the trading name of a sole proprietorship owned by JANHVI RAWAT & COMPANY, 20 Bijli Nagar, near Bicholi Hapsi Road, Indore, Madhya Pradesh 452016, India, and the person or entity that orders or uses our services or website (the "Client" or "you").
1.2 Acceptance. You accept these Terms by: (a) clicking or ticking "I agree" (or similar); (b) signing or approving a Service Order, proposal or invoice that refers to these Terms; (c) paying any Fees; or (d) instructing us to start work. Electronic acceptance is valid under the Information Technology Act, 2000.
1.3 Eligibility. You confirm that: (a) you are at least 18 years old and have legal capacity to contract; (b) you are buying the services for a business or professional purpose and not as a consumer for personal, family or household use; and (c) if you act for a company or other entity, you have authority to bind it, and "Client" includes that entity. If you do not have that authority, you personally accept these Terms.
1.4 If you do not agree to these Terms, do not use our website or services.
2. Definitions
In these Terms, the following words have these meanings:
- Applicable Law means all laws, regulations and binding regulator requirements that apply to a party or to the Services.
- Business Day means a day other than a Saturday, a Sunday or a public holiday which is globally recognised.
- Client Account means any LinkedIn profile or page, email account, outreach tool account or other online account of the Client that we are asked to access or manage.
- Client Materials means all information, content, data, logos, images, brand material, credentials and instructions the Client or its representatives give us.
- Confidential Information has the meaning in Section 14.
- Deliverables means the work product we create specifically for the Client under a Service Order, such as posts, articles, scripts, profile copy, lead lists, outreach sequences and reports.
- Delivery Period means the period stated in the Service Order for delivery, which will not be more than 60/90 days from the Start Date depending on the decided contract.
- DPA means the Data Processing Addendum in Schedule 1.
- Fees means the amounts payable for the Services as stated in the Service Order or invoice.
- Lead List means a list of business contacts that we compile for the Client.
- Platform means a third-party service we use or access for the Client, such as LinkedIn, email providers, data providers and outreach tools.
- Revloom Materials means our templates, frameworks, methods, processes, tools, know-how, pre-existing materials and general learnings, whenever created.
- Service Order means a proposal, order form, invoice, email or message exchange that describes the Services, Fees and Delivery Period and is accepted by the Client.
- Services means the services described in Section 3 and in the Service Order.
- Start Date means the later of: (a) the date we receive full payment of the Fees; and (b) the date we receive the onboarding information we reasonably request.
- Work Commenced means that we have started any substantive work on the Service Order, including an onboarding or discovery call, research, strategy work, list building, drafting, or accessing a Client Account.
3. Services and Service Orders
3.1 What we offer. Depending on the Service Order, the Services may include: (a) LinkedIn ghostwriting and content strategy; (b) personal branding and LinkedIn profile optimization; (c) done-for-you LinkedIn and B2B social media management; (d) lead generation, meaning compiling Lead Lists; (e) outreach management, including manual LinkedIn outreach and email outreach; (f) consultations; and (g) newsletter.
3.2 Service Orders. Each Service Order describes the scope, Deliverables, quantities, Fees and Delivery Period. Each Service Order is a separate contract on these Terms. Where a Service Order is not in writing, the scope is what we confirmed by email or message.
3.3 Sixty-day/ninety-day limit; no automatic renewal. We plan each Service Order so that the Services are delivered within the Delivery Period of no more than 60/90 days. If a Client wants Services beyond that, the Client and we will agree a new Service Order and the Client will pay for it in advance. No Service Order renews automatically.
3.4 Consultations. A consultation is a time-limited discussion offering our views based on our experience. Consultations are not legal, tax, financial, investment or other regulated professional advice, and the Client decides whether to act on them. A missed consultation is treated as delivered if we attended at the scheduled time. We reschedule on request made at least 24 HOURS before the start time.
3.5 Exclusions. Unless the Service Order expressly says so, the Services do not include: paid advertising or ad spend; graphic design, video or photography; website development; legal, tax, medical or financial advice; management of any account that is not named in the Service Order; guaranteed responses, meetings, leads or sales; or Services in any language other than English.
3.6 Timelines. Dates we give are good-faith estimates. They depend on the Client meeting its responsibilities in Section 4. Delays caused by the Client extend the Delivery Period for the same number of days, and the 60-day planning limit in Section 3.3 is extended accordingly.
4. Client responsibilities, inputs, approvals and timelines
4.1 The Client must: (a) give us accurate, complete and lawful Client Materials on time; (b) answer questions and give feedback within 3 BUSINESS DAYS of our request; (c) nominate one decision-maker for approvals; (d) give any Client Account access we need (Section 10); and (e) keep us informed of changes in its business, offers, claims or regulatory position that affect the Deliverables.
4.2 Approvals. We do not publish content from a Client Account until the Client approves it, which may be by written message, email or an approval tool. If the Client does not respond within 3 BUSINESS DAYS of a reminder and has pre-authorised scheduled posting for that content, we may publish the approved content on the agreed schedule. We never publish unapproved content on the Client's behalf unless the Client has authorised it in writing for that content type.
4.3 Delays by the Client. If the Client does not supply inputs or feedback on time, the Delivery Period extends as stated in Section 3.6. If the Client is unresponsive for more than 14 DAYS, we may treat the remaining Services as delivered to the extent of the work done and Section 13 applies.
5. Revisions and change requests
5.1 Unlimited content revisions. The Client may request unlimited revisions to written content Deliverables, as long as the requests: (a) stay within the approved brief, topic, format and quantity in the Service Order; (b) are made within 7 DAYS after we deliver the relevant Deliverable and within the Delivery Period; (c) are reasonable and consolidated, so that feedback on a Deliverable is given as one set of comments where practicable; and (d) are about wording, tone, structure, clarity or accuracy and are not a new brief.
5.2 What is not a revision. A change to the strategy, target audience, offer, positioning, topic, number of Deliverables, or a request to start again from a new brief is a change request, not a revision. Revisions to Lead Lists, profile optimisation work, reports and consultations are limited to correcting errors in what we delivered against the Service Order, unless the Service Order says otherwise.
5.3 Change requests. We will tell the Client whether a change request affects Fees or the Delivery Period. Work on the change begins only after the Client approves the extra Fees in writing and pays them.
5.4 Fair use. If revision requests become repeated, contradictory or unreasonable in volume, we may pause revisions and ask the Client to consolidate feedback or move to a change request.
6. Ghostwriting terms
6.1 Confidential authorship. The Client will publish Deliverables in its own name. Unless we agree otherwise in writing, we are not credited as author and we will not disclose that we wrote the Deliverables.
6.2 Client's right to publish as its own. After the ownership transfer in Section 7.2, the Client may publish, edit, adapt and present the Deliverables as its own work, without attribution to us.
6.3 Portfolio. We may describe the type and general results of work generically in our portfolio and marketing without naming the Client or disclosing Client Materials, unless the Client agrees in writing to be named.
6.4 Moral rights. To the fullest extent permitted by Applicable Law (including section 57 of the Copyright Act, 1957), the Client may publish without attribution to us, and we agree not to assert any right to claim authorship or to restrain publication or modification of the Deliverables in a manner that would prevent the Client from using them as its own. We do not give up any right that cannot lawfully be waived.
6.5 Authenticity. The Client is responsible for the claims it makes in its own name and for not misrepresenting its experience or credentials. Deliverables are based on what the Client tells us.
7. Intellectual property
7.1 Licence until payment. Until the Client has paid all Fees for the relevant Service Order, we grant the Client a limited, non-exclusive, non-transferable licence to use the Deliverables only for review and, where we have agreed in writing, for scheduled posting. This licence ends if the Client does not pay.
7.2 Assignment on full payment. On our receipt of all Fees for the Service Order, we assign to the Client all copyright in the Deliverables for that Service Order, other than Revloom Materials and third-party materials. For the purposes of section 19 of the Copyright Act, 1957, the assignment is: (a) of all rights in the Deliverables; (b) worldwide in territory; (c) for the full term of copyright; (d) in all media and formats now known or later developed; and (e) without any lapse of rights for non-exercise. The assignment takes effect automatically on full payment, without a further document.
7.3 Revloom Materials. We keep all rights in Revloom Materials. Where a Deliverable includes Revloom Materials, we grant the Client a non-exclusive, worldwide, perpetual, royalty-free licence to use them as part of that Deliverable.
7.4 Client Materials. The Client keeps all rights in the Client Materials and grants us a non-exclusive licence to use them to provide the Services (including to reproduce, adapt and publish them in the Client's accounts as directed). We may use the Client's trademarks only as needed for the Services.
7.5 Third-party materials. Third-party content (for example stock images, quotes or data) is used under its own licence. The Client is responsible for complying with those licences after delivery.
7.6 Our name and brand. Nothing in these Terms transfers any right in the name Revloom or our logos. The Client must not use them without our written consent, except to refer to us accurately as its service provider.
7.7 Feedback. If the Client gives us general suggestions about our services, we may use them without restriction or payment.
8. Client content responsibility and our right to refuse work
8.1 The Client is responsible for the accuracy, legality and approval of all Client Materials and of all content published in its name. The Client confirms that: (a) it has the right to give us the Client Materials; (b) the Client Materials and the Deliverables, as used by the Client, will not infringe any person's intellectual property, privacy, publicity or other rights; (c) they will not be defamatory, obscene, discriminatory, misleading or unlawful, and will not breach Applicable Law; and (d) factual, financial, health, legal or regulated claims are true and the Client holds evidence for them.
8.2 The Client must review each Deliverable before approval. We do not verify facts, statistics, claims or legal compliance of the Client's business and are not liable for content the Client approves.
8.3 Our right to refuse. We may decline, pause or stop work, in whole or part, if we reasonably believe that the work or the Client's instructions: are unlawful, deceptive, defamatory, hateful or obscene; infringe rights; would breach a Platform's rules; would risk harm to us, our team or others; or concern a subject we do not work on. We will tell the Client why, unless the law prevents us. If we refuse before Work Commenced, Section 13.1 applies. If we refuse after, Section 13.4 applies.
8.4 Regional content sensitivities. Content aimed at audiences in the Middle East, India and elsewhere may be restricted by local laws on religion, public morals, defamation and the conduct of states and officials. The Client is responsible for the legality of content in the places where it publishes and targets.
9. Results and earnings disclaimer
9.1 No guarantee of outcomes. We do not guarantee any particular result, including followers, impressions, engagement, replies, meetings, leads, revenue, hires, funding or sales. Results depend on many factors outside our control, including the Client's offer, market, pricing, reputation, responsiveness, content quality, timing and Platform algorithms.
9.2 Testimonials and case studies. Any testimonial, case study, example or figure that we show is for illustration. It reflects the experience of that client only. Results are not typical, and your results may be lower or different.
9.3 Earnings. We do not promise or imply that any person will earn any amount of money. Any statements about monetisation are our opinions or examples, not guarantees.
9.4 Algorithms. Platforms change their algorithms and rules without notice. We are not responsible for changes in reach, visibility or performance caused by them.
10. Platform risk; account access and credentials
10.1 Rules of Platforms. Platforms such as LinkedIn have their own terms and policies, which can restrict automation, scraping, shared account access and third-party tools. We aim to use methods that follow them. Our LinkedIn work is done manually by our team through the Client Account, and automation is used only for email outreach and only after the Client authorises it.
10.2 Client authorisation for access. If the Client gives us access to a Client Account, the Client: (a) confirms it owns or is authorised to control the account; (b) authorises us to log in and act in the account only as needed for the Services; (c) confirms it has considered the Platform's terms about account access by others; and (d) accepts the risks in Section 10.4.
10.3 How we handle access. We will: (a) use the access only for the Services; (b) keep login details in A PASSWORD MANAGER or commonly discussed way and not share them outside our team members who need them; (c) not change the Client's password, recovery email, phone number or security settings without the Client's approval; (d) ask the Client to enable multi-factor authentication where available and to share verification codes only through a channel we agree; and (e) stop using the access at the end of the engagement. The Client should then change its password and remove any access it gave us, and we will remove stored login details within 7 DAYS of the end of the engagement.
10.4 Platform action and risk. Accessing an account from different devices or locations, or any other Platform decision, can lead to verification prompts, restrictions, suspension or loss of an account or reach. We do not guarantee that no such action will occur and, to the fullest extent permitted by Applicable Law, we are not liable for any action taken by a Platform or for loss of an account, audience, content or connections. We will tell the Client promptly if we see a restriction or warning affecting the Client Account.
10.5 Client alternatives. The Client may choose to post from its own account using content we supply, or to give us access in another way that the Platform permits, if the Client prefers to reduce this risk. Different methods may change the Delivery Period.
11. Lead lists and outreach
11.1 Lead Lists. We compile Lead Lists from reputable data providers (for example Apollo, LeadFinder and Clay) and public professional sources. We do not guarantee the accuracy, completeness, currency or lawful sourcing of third-party data, and we rely on the providers' statements about sourcing. The Client acknowledges that some contact details will be out of date.
11.2 Client as decision-maker. For Lead Lists and outreach, the Client decides who to contact and why and is the party responsible for the lawfulness of its outreach (including having a legal basis and sending the notices and opt-outs that the law requires). We act on the Client's instructions as its processor under the DPA.
11.3 Email outreach. We use automation only for email outreach and only after the Client's authorisation. The Client must: (a) send only from domains and mailboxes it owns or controls; (b) identify itself accurately in messages; (c) include a working opt-out and honour opt-outs promptly; and (d) not use deceptive subject lines or headers. We apply suppression lists that the Client gives us or that we hold from earlier opt-outs.
11.4 Laws on outreach. The Client is responsible for complying with laws on marketing communications in the places where it sends messages, such as the US CAN-SPAM Act, the Telephone Consumer Protection Act (for calls and texts), UK and EU rules on electronic marketing and data protection, Canadian, Australian and other anti-spam laws, and Indian telecom rules. We do not send commercial calls or SMS for Clients unless a Service Order says so.
11.5 Deliverability. Email deliverability depends on the Client's domain reputation, technical set-up, content and recipient behaviour. We do not guarantee inbox placement or response rates.
11.6 Our right to stop. We may suspend or stop outreach, without liability, if we reasonably believe the campaign is unlawful, abusive or at risk of causing complaints, blacklisting or Platform action.
12. Fees, invoicing and taxes
12.1 Currency and prices. Fees are stated in Indian rupees (INR), US dollars (USD) or UAE dirhams (AED), as shown in the Service Order or invoice. We do not accept payment in a currency other than the one on the invoice unless we agree.
12.2 100% advance. The Client pays 100% of the Fees for a Service Order before we start work. We invoice before the Start Date. Work starts only after we receive full payment of cleared funds.
12.3 Payment methods and charges. Payment is by the methods shown on the invoice, which may include RAZORPAY / STRIPE / PAYPAL / WISE / BANK TRANSFER, & UPI. The Client bears its own bank, payment processor, remittance and currency conversion charges, so that we receive the full invoiced amount.
12.4 Taxes. Fees are exclusive of taxes unless stated. For Clients in India, we add Goods and Services Tax (GST) where applicable. For services exported outside India, GST treatment follows Applicable Law, including any letter of undertaking we hold. The Client is responsible for any VAT, sales tax, withholding tax, reverse-charge or other tax in its country. If the law requires the Client to withhold tax from a payment, the Client must pay the withheld amount to the tax authority on time, give us the withholding certificate promptly, and, where it does not, pay us the shortfall.
12.5 No automatic renewal. We do not charge any card or account automatically for future periods, and no Service Order renews without a new Service Order and payment.
12.6 Late payment. Where any amount other than the advance (for example change-request Fees) is not paid by its due date, we may charge interest of 1.5% PER MONTH or the maximum rate the law allows, whichever is lower, from the due date until payment. Where the law provides a statutory rate of interest for delayed payments to micro or small enterprises (for example under the Micro, Small and Medium Enterprises Development Act, 2006), the Client acknowledges that Revloom may rely on it.
12.7 Suspension. If an amount is overdue, we may suspend the Services and withhold Deliverables until it is paid. The Delivery Period is extended by the length of the suspension.
12.8 No set-off. The Client must pay all Fees in full without set-off, counterclaim or deduction, except as the law requires and except for a refund we agree in writing.
12.9 Invoices and disputes. If the Client disputes an invoice, it must tell us in writing within 7 DAYS of the invoice date with reasons, and pay any undisputed amount on time.
13. Refunds and cancellation
13.1 Before Work Commenced. The Client may cancel a Service Order by written notice at any time before Work Commenced. We will refund all Fees paid for it, less any non-recoverable payment processor, bank and currency conversion charges , within 15 BUSINESS DAYS of the cancellation notice.
13.2 After Work Commenced. Once Work Commenced, Fees are non-refundable, because the advance reserves our time and covers work that is begun, prepared or scheduled. This does not limit Sections 13.4 and 13.6.
13.3 Consultations. Rescheduling is allowed as stated in Section 3.4. A consultation Fee is refundable under Section 13.1 only if the consultation has not taken place and we have not started preparation.
13.4 If we cannot or do not deliver. If we cancel a Service Order for our convenience, or are unable to deliver Services for reasons within our control, or if we stop work under Section 8.3 for reasons that are not the Client's breach or the Client's unlawful instructions, we will refund the part of the Fees that relates to Services not yet delivered, calculated fairly by reference to the Service Order.
13.5 Client cancellation after Work Commenced. If the Client terminates after Work Commenced, no refund is due for Services delivered or in progress, and the Client will pay for any approved extra work already done.
13.6 Mandatory consumer rights. Our Services are for businesses. If, despite Section 1.3, Applicable Law treats the Client as a consumer, nothing in these Terms removes any right that cannot lawfully be waived. In particular: (a) for a consumer in the United Kingdom or the European Economic Area, there is a 14-day right to cancel a distance services contract; the Client may ask us to start the Services within that period, in which case it must pay a proportionate amount for Services supplied up to the time it tells us it cancels, and loses the right to cancel once the Services are fully performed after it has asked us to start and acknowledged that it loses the right; and (b) for a consumer in the United Arab Emirates or elsewhere, any mandatory cancellation, refund or remedy rights that apply remain available.
13.7 How refunds are made. We refund by the original payment method and in the original currency where possible. Exchange-rate differences and third-party charges not within our control are not refunded unless the law requires. If the Client has a payment problem, the Client should contact us first at janhvi@revloomconsults.com so that we can try to resolve it before any chargeback.
14. Confidentiality
14.1 Confidential Information means non-public information that a party (the "Discloser") gives the other (the "Recipient") in connection with the Services and that is marked confidential or would reasonably be understood as confidential. It includes Client Materials, strategy, offers, pricing, unpublished content, Lead Lists, login details, and our Revloom Materials. It excludes information that: is or becomes public without the Recipient's breach; was lawfully known to the Recipient before; is lawfully received from a third party without a duty of confidence; or is independently developed.
14.2 The Recipient will: use Confidential Information only for the Services or these Terms; protect it with at least reasonable care; and disclose it only to its employees, subcontractors, professional advisers and insurers who need to know and are bound by confidentiality duties.
14.3 The Recipient may disclose Confidential Information if required by law, court order or regulator, after giving the Discloser prompt notice where the law allows.
14.4 These duties continue for 5 YEARS after the end of the relevant Service Order, and for as long as the information remains a trade secret or personal data.
14.5 On written request after the end of the Services, we will delete or return Client Materials, subject to Sections 3 and 10 of the Privacy Policy (retention) and Applicable Law.
15. Data protection
15.1 Roles. For personal data about the Client's own staff, contacts and billing, we are an independent controller (Data Fiduciary) and our Privacy Policy applies. For personal data we handle on the Client's instructions in Lead Lists, outreach and audience or prospect data, the Client is the controller (Data Fiduciary) and we are its processor (Data Processor), and the DPA in Schedule 1 applies.
15.2 Client's duties. The Client confirms that it has a lawful basis for giving us personal data and for the outreach it instructs, has given all required notices, and will give lawful instructions.
15.3 DPA. The DPA forms part of these Terms and applies automatically when we process personal data as the Client's processor. The Client may request a signed copy by email. Where the law requires a separate signed or approved version (for example an EU or UK transfer mechanism), the parties will sign it on request.
15.4 Breach. Each party will handle personal data breaches as stated in the DPA and Applicable Law.
16. Team, subcontractors and AI tools
16.1 We may use employees, freelancers and subcontractors to deliver the Services. We remain responsible to the Client for their acts and omissions as if they were ours. They are bound by written confidentiality duties.
16.2 We may use AI-assisted tools for research, drafting support, editing and formatting. We do not enter the Client's Confidential Information or personal data into third-party generative AI tools unless the Client has agreed (including in a Service Order or written message). We do not enter Lead List data into generative AI tools. Deliverables are reviewed by a person before delivery. If the Client wants us not to use AI tools on its work, it must tell us in writing before Work Commenced.
16.3 Where law or a Platform requires disclosure that content is AI-generated or AI-assisted, the Client is responsible for making that disclosure for content published in its name.
17. Non-solicitation
17.1 During each Service Order and for 12 MONTHS after it ends, the Client will not, directly or through others, solicit for employment or engagement any of our employees, freelancers or subcontractors who worked on the Client's Services, without our written consent. General job advertisements that are not aimed at them are not a breach.
17.2 This clause applies only to the extent it is enforceable under Applicable Law, including section 27 of the Indian Contract Act, 1872. We do not impose any non-compete on the Client.
18. Warranties and disclaimers
18.1 We warrant that we will perform the Services with reasonable skill and care, using suitably skilled people, and that we have the right to provide them.
18.2 Except as stated in Section 18.1 and to the fullest extent Applicable Law allows, the Services, the Deliverables and the website are provided "as is" and "as available", and we exclude all other warranties and conditions, express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, and outcome.
18.3 We do not guarantee the actions of any Platform, data provider or other third party.
18.4 Nothing in this Section excludes warranties or rights that cannot lawfully be excluded.
19. Limitation of liability
19.1 Indirect loss. To the fullest extent permitted by Applicable Law, we are not liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, business, opportunity, goodwill, reputation, data or anticipated savings, arising from or relating to the Services, even if we were told of the possibility.
19.2 Cap. To the fullest extent permitted by Applicable Law, our total liability arising from or relating to a Service Order, whether in contract, tort (including negligence), under statute or otherwise, is limited to the Fees actually paid by the Client for that Service Order. Because each Service Order is planned for delivery within 60 days (Section 3.3), this cap relates to the Services delivered within that period. All claims relating to the same Service Order share one cap.
19.3 Client's payment duties. The cap does not reduce the Client's obligation to pay Fees.
19.4 What is not limited. Nothing in these Terms limits or excludes liability for: (a) fraud or fraudulent misrepresentation; (b) wilful misconduct; (c) death or personal injury caused by negligence; or (d) any other liability that cannot lawfully be limited or excluded, including rights that apply to consumers by law.
19.5 The parties agree that these limits reflect a reasonable allocation of risk, given the Fees charged.
20. Indemnities
20.1 By the Client. The Client will defend and compensate us, our owner, employees, freelancers and subcontractors against third-party claims, and related losses, damages, penalties and reasonable legal costs, arising from: (a) the Client Materials or content published in the Client's name, including claims of infringement, defamation, privacy breach, misleading claims or unlawful content; (b) the Client's outreach campaigns, including claims about unsolicited communications or data protection; (c) the Client's breach of these Terms or Applicable Law; or (d) the Client's instructions, including instructions to access or use a Client Account.
20.2 By us (limited). We will defend the Client against a third-party claim that a Deliverable we created as original work infringes that third party's copyright, and pay damages and costs finally awarded against the Client or agreed in a settlement we approve, but only where: the Deliverable was used as delivered and for the agreed purpose; the claim does not arise from Client Materials, third-party materials or changes not made by us; and the Client gives prompt notice and lets us control the defence and settlement and cooperates. We may replace or modify the Deliverable or refund its Fees. This Section is the Client's only remedy for such a claim, and our liability under it counts towards the cap in Section 19.2.
20.3 Procedure. The indemnified party will notify the other promptly of a claim (late notice limits the indemnity only to the extent the other is prejudiced), will not admit liability or settle without the other's consent, and will give reasonable help at the indemnifying party's cost.
21. Force majeure
21.1 Neither party is liable for failure or delay (other than a failure to pay money due) caused by events beyond its reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, strikes, power or telecom failure, internet or Platform outages, cyber-attacks not caused by the party's failure to take reasonable precautions, and acts or orders of government or regulators.
21.2 The affected party will notify the other promptly and use reasonable efforts to resume. Deadlines extend for the length of the event.
21.3 If the event continues for more than 30 DAYS, either party may terminate the affected Service Order by written notice, and Section 13.4 applies to Fees for Services not yet delivered.
22. Term and termination
22.1 These Terms start when you accept them and continue while any Service Order is in effect or you use our website.
22.2 A Service Order ends when the Services under it are delivered, at the end of the Delivery Period (as extended under these Terms), or on earlier termination.

24.2 We will review complaints promptly, may remove or disable access to material while we do, and may tell the person who supplied the material. We may end access for repeat infringers.
25. Anti-bribery, sanctions, export control and anti-money-laundering
25.1 Each party will comply with Applicable Law on bribery and corruption (including the Indian Prevention of Corruption Act, 1988, the US Foreign Corrupt Practices Act and the UK Bribery Act 2010, where they apply) and will not offer, give, request or accept any improper payment or advantage in connection with the Services.
25.2 The Client represents that: (a) neither it nor its owners, directors or controlling persons is the target of sanctions administered by the United Nations, the United States, the European Union, the United Kingdom, India, the United Arab Emirates or another competent authority; (b) it will not use the Services in or for any sanctioned person, country or activity; (c) the funds it pays us are from lawful sources and it complies with Applicable Law on anti-money-laundering (including, where relevant, the Indian Prevention of Money-laundering Act, 2002); and (d) it will not use the Services in breach of export-control law.
25.3 We may suspend or terminate any Service Order and refuse or return payments if we reasonably believe this Section is breached, and Section 13.4 applies only if the Client has not breached this Section.
26. Electronic communications, e-signature and notices
26.1 The Client consents to receive notices, invoices and communications from us electronically (by email, message, chat or the website). Electronic records and electronic signatures (including click acceptance, typed names and approvals by email or message) are valid and binding, as under the Information Technology Act, 2000 and equivalent laws.
26.2 Notices to us: by email to janhvi@revloomconsults.com, with the subject line "Legal notice". Notices to the Client: by email to the address on the Service Order or the address the Client most recently gave us. Notices by email are treated as received on the next Business Day after sending, unless the sender receives a delivery failure message.
26.3 Formal notices may also be sent to our address in Section 1.1.
27. General
27.1 Entire agreement. These Terms, the Service Order and the DPA are the entire agreement on their subject and replace earlier discussions and proposals. The Client does not rely on any statement not in them, but nothing limits liability for fraud.
27.2 Order of precedence. If documents conflict: (a) the DPA applies on the processing of personal data; (b) the Service Order applies on scope, Fees and Delivery Period; and (c) these Terms apply to everything else. A Service Order does not change Sections 19 or 28 unless we have approved it in writing and it names the Section it changes.
27.3 Assignment. The Client may not assign or transfer its rights or duties without our written consent. We may assign these Terms to a successor to our business, or subcontract under Section 16.
27.4 Waiver. A failure or delay in exercising a right is not a waiver of it.
27.5 Severability. If any provision is held invalid or unenforceable, the rest continue, and the provision is limited or replaced by the closest valid provision to its intent.
27.6 No partnership. The parties are independent contractors. Nothing creates a partnership, joint venture, employment, agency or fiduciary relationship. Neither may bind the other.
27.7 Third parties. Only the parties (and, for Section 20, the indemnified persons named there) may enforce these Terms. No other person has any right to enforce them.
27.8 Counterparts. These Terms and any Service Order may be accepted in counterparts and electronically.
27.9 Interpretation. Headings are for convenience. "Including" means "including without limitation". A reference to a law includes that law as amended or replaced.
27.10 Language. These Terms are in English. If translated, the English version prevails.
28. Dispute resolution, governing law and jurisdiction
28.1 Governing law. These Terms, each Service Order and any dispute or claim arising out of or in connection with them (including non-contractual claims) are governed by the laws of India, without regard to conflict-of-law rules.
28.2 Step 1: notice and negotiation. A party with a dispute must first give the other a written notice describing it (an "Dispute Notice"). The parties will try in good faith to settle it by discussion between their authorised representatives within 15 days after the Dispute Notice is received.
28.3 Step 2: mediation. If the dispute is not settled within that period, either party may refer it to mediation under the Mediation Act, 2023 before a mediator agreed by the parties or, failing agreement within 7 days, appointed by MEDIATION SERVICE PROVIDER. The parties will try to complete mediation within 30 days of the referral. Mediation is confidential and without prejudice, and the mediator's fees are shared equally. Where the law requires pre-institution mediation before a commercial suit, this step is intended to satisfy it as far as the law permits.
28.4 Step 3: arbitration. If the dispute is not settled by mediation within 30 days of the referral (or if a party refuses or fails to take part in mediation), either party may refer it to final and binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended), as follows: (a) there will be a sole arbitrator, appointed by agreement of the parties within 15 days after a written request for arbitration; (b) if they do not agree, the arbitrator is appointed by MCIA OR ANOTHER APPOINTING AUTHORITY or, if it does not act, by the competent court; (c) the seat and venue of arbitration is Indore, Madhya Pradesh, India; (d) the language is English; (e) the arbitrator will make a reasoned award; (f) the proceedings and award are confidential, except as needed to enforce or challenge the award or as the law requires; and (g) the costs follow the award as the arbitrator decides. The arbitrator must be independent and impartial and must make the disclosures that the Act requires. The award is final and binding and may be enforced in any court of competent jurisdiction. A party may not unilaterally appoint the arbitrator.
28.5 Urgent relief. Nothing stops either party from seeking urgent interim or protective relief (including an injunction to protect Confidential Information or intellectual property, or to secure unpaid Fees) from the competent court at Indore, before or during arbitration, or from the arbitral tribunal.
28.6 Courts at Indore. Subject to Section 28.4, and for interim relief, enforcement, matters that cannot be arbitrated and proceedings in aid of or supervising arbitration, the courts at Indore, Madhya Pradesh, have exclusive jurisdiction, in each case subject to those courts having jurisdiction under Applicable Law. Where the jurisdiction of a High Court is attracted (for example for writs, appeals, arbitration-related applications and commercial matters of the value required), the court is the High Court of Madhya Pradesh at Indore (the Indore Bench), to the extent that the Indore Bench has jurisdiction under Applicable Law. The parties choose between courts that are already competent. Nothing in this Section gives any court a jurisdiction it does not otherwise have.
28.7 Consumers and mandatory law. Nothing in this Section 28 or in Section 28.1 removes any right of a consumer in the United Kingdom, the European Union, the United Arab Emirates or elsewhere that cannot lawfully be waived, including any right to bring proceedings in the courts of the consumer's home country or to rely on mandatory consumer-protection rules of that country. For Clients who are not consumers, this Section 28 applies in full.
28.8 Limitation. The limitation periods under Applicable Law (including the Limitation Act, 1963) apply. Nothing in this Section shortens them. Time spent in negotiation or mediation does not stop limitation running unless the law says it does, and either party may start protective proceedings to preserve a claim.
28.9 Continued performance. While a dispute is being resolved, each party will continue to perform undisputed obligations, but we may suspend Services for non-payment as stated in Section 12.7.
28.10 Severability of this Section. If any part of this Section 28 is found invalid or unenforceable, the rest remains in effect, and the invalid part is replaced by the closest valid provision to the parties' intent, including (if arbitration cannot proceed) exclusive jurisdiction of the competent courts at Indore.
28.11 Electronic contracts. The parties agree that these Terms and each Service Order, accepted electronically, are valid and enforceable contracts under section 10A of the Information Technology Act, 2000.

30.1 We may update these Terms. Changes apply to new Service Orders from the date posted. 30.2 Version history:
Version - 1.0
Date - 2nd November 2026
Summary of change
Schedule 1: Data Processing Addendum
This Data Processing Addendum (DPA) forms part of the Terms and Conditions between the Client and Revloom. It applies when Revloom processes personal data on the Client's behalf as its processor (Data Processor), for example in Lead Lists, outreach and audience or prospect data.
1. Definitions. Terms such as controller, processor, Data Fiduciary, Data Processor, personal data, processing, personal data breach and sub-processor have the meanings in the data protection laws that apply, including the Indian Digital Personal Data Protection Act, 2023 and Rules, the UK GDPR and EU GDPR, and US state privacy laws (together, "Data Protection Law"). "Client" is the controller/Data Fiduciary and "Revloom" is the processor/Data Processor.
2. Subject matter and details. The processing details are:
- Item
- Detail
- Subject matter and purpose
- Compiling Lead Lists, managing outreach and related campaign administration for the Client under the Service Order
- Duration
- The Delivery Period, plus the period in paragraph 9
- Nature
- Collection from vendors and public sources, organisation, storage, import into outreach tools, sending, and deletion
- Personal data
- Name, job title, employer, business email, business phone, LinkedIn URL, replies and opt-out records
- Data subjects
- Prospects and business contacts, and Client staff
- Special categories
None intended. The Client must not instruct us to process them
3. Instructions. Revloom will process personal data only on the Client's documented instructions (the Terms, the Service Order and the Client's lawful written instructions), unless the law requires otherwise, in which case Revloom will tell the Client unless the law prevents it. Revloom will tell the Client if it believes an instruction breaches Data Protection Law.
4. Client's responsibilities. The Client is responsible for the lawfulness of its instructions, for having a legal basis and giving all required notices, and for honouring opt-outs.
5. Confidentiality. Revloom ensures that people who process the data are bound by confidentiality.
6. Security. Revloom will apply reasonable technical and organisational measures appropriate to the risk, such as access controls, unique credentials, multi-factor authentication where available, use of reputable providers and secure deletion.
7. Sub-processors. The Client gives general authorisation for Revloom to use sub-processors of the types listed in the Privacy Policy (workspace and email, data providers, outreach and email tools, payments, hosting). Revloom will bind them to terms offering a similar level of protection and remains responsible for them. Revloom will give notice of material new sub-processors at least 14 DAYS in advance (for example by email or by updating a list available on request). The Client may object on reasonable data protection grounds within that time, and the parties will then discuss in good faith, failing which the Client may end the affected Service Order and Section 13.4 applies.
8. Assistance. Taking into account the nature of processing, Revloom will reasonably help the Client to respond to requests from individuals, and with security, breach notification, impact assessments and consultations with regulators, in each case at the Client's cost where the help is substantial.
9. Return and deletion. At the end of the Services, Revloom will delete or return the personal data, as the Client chooses, within 90 DAYS of delivery, unless the law requires it to be kept. Backups are deleted in the ordinary cycle.
10. Breach. Revloom will tell the Client without undue delay and, where feasible, within 72 hours after becoming aware of a personal data breach affecting the Client's personal data, with the information it then has, and will help the Client to meet its own notification duties.
11. Audit and information. Revloom will give the Client the information reasonably needed to show compliance and will allow one reasonable audit or review per year, on 14 DAYS notice, during business hours, at the Client's cost and subject to confidentiality and without disrupting Revloom's other clients.
12. International transfers. The Client agrees that Revloom may process personal data in India and in the countries where its sub-processors operate. Where Data Protection Law requires a transfer mechanism, the parties will use it: for personal data from the European Economic Area, the EU standard contractual clauses (Module 2, controller to processor); for personal data from the United Kingdom, the UK International Data Transfer Agreement or the UK Addendum to those clauses; and for other regions, the mechanism that law requires. On request, the parties will sign the relevant documents, which are then incorporated by reference.
13. US state laws. To the extent a US state privacy law applies, Revloom acts as the Client's service provider or contractor and will: not sell or share the personal data; not retain, use or disclose it other than for the business purposes in the Terms or as the law allows; not combine it with other personal data except as the law allows; comply with applicable obligations and give the same level of privacy protection; and tell the Client if it can no longer meet them. The Client may take reasonable steps to stop and remedy unauthorised use.
14. India. Revloom processes personal data under a contract with the Client as Data Fiduciary, as the DPDP Act contemplates for a Data Processor, and will follow the Client's instructions as above.
15. Liability and precedence. Liability under this DPA is subject to Section 19 of the Terms, except where the law does not allow that. If this DPA conflicts with the Terms on the processing of personal data, this DPA prevails. If a mechanism signed under paragraph 12 conflicts with this DPA, that mechanism prevails to the extent of the conflict.
